Benchmarking Your Business

Written by Goosmann Law Team | May 30, 2018 5:00:00 AM

Are you preparing to sell your business or merge with a competitor to improve market share in your industry?

If so, time is on your side to take invaluable preparatory steps now. This will allow you time and direction to improve your profitability and overall outlook when viewed by a potential buyer or target. For instance, if you are looking ahead at integrating a competitor into your group to increase market share, the stronger you look, the more power you will hold in the negotiations of such a transaction. We help guide companies through this process, so that they are in the best place when it comes to going through this type of transaction.

Legal Look-over

We informally investigate our clients risk levels, reviewing employment processes, government compliance, and legal threats, among other things. Such investigations can be attorney-client privileged, which means if we uncover an issue we can proactively address it. This strengthens the organization as a whole, making it stronger and more attractive to a potential buyer or merger partner.

Corporate Check

Goosmann Law Firm will review your corporate books and records. If there is any clean-up from past shareholders or corporate compliance matters, we will direct you to the appropriate and practical action. We ensure your corporate records are up to date, that you are taking precautions to ensure your corporate shield remains intact (thus protecting owners), and that you are in good standing in each state in which you are required to be authorized to do business. In some cases, this means gathering documents from multiple sources to put the puzzle together to build the big picture of where you are heading. When we worked with one of our clients, we obtained various corporate documents from no fewer than five other attorneys. Each attorney had done some work for the company and then let it go stale. And did any of these attorneys speak to the corporate accountant? Nope. This is why we make it a priority to keep your professionals (outside and in-house) and advisors up to date on your plans.

Financial Follow-Up

We team up with an advisory team of accountant/financial advisers to benchmark you against the market. This points out opportunities for growth and the ability to meet more potential. It also shows you where the holes are. If you know where the holes are, you can fill them in before an acquirer or merger target points them out. In addition, we work with this team to boost profitability, reduce costs, and improve top-line revenue. This makes you more attractive to both a buyer and a merging partner.
