Goosmann Law Prevails in Shareholder Dispute

Goosmann Law recently won a case on summary judgment before the Federal Court for the Northern District of Iowa.

In the lawsuit, Goosmann Law’s corporate client was sued by a minority shareholder who alleged shareholder oppression and freeze out by the majority shareholders, as well as breach of fiduciary duty through the dilution of the minority shareholder’s stock and payment of excessive compensation to the remaining shareholders.  The court ruled that the minority shareholder did not have preemptive rights and found no evidence in the record to suggest the majority shareholders received excessive compensation.  The court dismissed the case in its entirety.
